حيث يقدم الطرف الأول تصنيع وعزل صناديق (الجافة – المبردة) ويرغب الطرف الثاني في تحقيق أهداف الشركة وتلبية احتياجاتها بالحصول على الصناديق الجافة او المبردة والإستفادة من الخدمات المقدمة من الطرف الأول، ونظراً لكون الطرف الأول شركة متخصصة في المملكة العربية السعودية وقد فهمت المخاطر المتصلة بالأعمال ولما كان لديها من العديد من الإمكانيات والمهارات والخبرات في مجال تصنيع وعزل الصناديق مما يمكنها من تنفيذ الأعمال و إتمامها وضمانها وذلك بناءا على التعامل المسبق وعدم حدوث أي مشاكل بخصوص التصنيع وقد اقترن بقبول الاتفاقية مع الطرف الأول ، ولتلاقي رغبة الطرفين في إجراء هذه الإتفاقية بوضع واجبات وحقوق الطرفين، وعليه أبرم كلا الطرفين هذه الإتفاقية واتفقا على بنوده وهما بكامل أهليتهما المعتبرة شرعاً ونظاماً وفقاً للبنود الاتية:
