(c) the creation or, where appropriate, issuance of any fixed or floating charge, debenture, lien (other than a lien arising by operation of law) or other mortgage, encumbrance or security interest of a value greater than 150,000 (one hundred thousand) Saudi Riyals over the whole or any part of the business, property or assets (tangible or intangible) of the Company, except as agreed in the relevant Business Plan and/or yearly Budget;
