PORTION OF THE PIE COMPENSATION AMOUNT
(a) If, at any time before the repayment of each Tranche under Facility C in accordance
with Article 5.1 .B, the Borrower receives any portion of the PIE Transfer Compensation
Amount from the Offtaker pursuant to the PPA, it shall shall promptly inform the Bank
thereof and pro tanto the amount of such PIE Transfer Compensation Amount. At any
time thereafter, the Bank may, by notice to the Borrower, demand prepayment of the
Loan Outstanding under Facility C, together with accrued interest and all other amounts
accrued or outstanding under this Contract in relation to Facility C.

What is a PPA?
A power purchase agreement (PPA) is a contractual agreement between energy buyers and sellers. They come together and agree to buy and sell an amount of energy which is or will be generated by a renewable asset. PPAs are usually signed for a long-term period between 10-20 years.
Vocabulary tip:
Offtaker is another name for energy buyer. You will also hear an energy seller by other names – such as a generator, an asset owner or an investor.
