I have a good idea what the phrase above means, i'm just not sure how you would say this using the terminology from the sector.

This would seem to be a "rights issue" (in the form of warrants) where existing shareholders have the right to purchase first in proportion to the quota they already hold. The parent company already has 51.1% of the existing shares and has the "pre-emptive" option to purchase 51.1% of the new shares, before they are offered to other shareholders and/or the general public. The text says nothing about why it does this, but simply that it does.

I understand it like this: If the company decides to hike its capital the XXX shareholder shall fully subscribe for the newly-issued shares in order to keep its controlling stake of 51.1%.
