"THAT the authorized Share Capital of the Company of 1,000 Ordinary Shares of £1 each be and are hereby re-designated as 1,000 Ordinary Shares of €l each.
THAT as a consequence of the passing of the above resolution the issued capital of the Company of 1 Ordinary Shares of £1 each be and is hereby re-designated as follows:-
THAT, the Share Capital of the Company shall be and is hereby increased from €1,000 divided into 1,000 Ordinary Shares to €500,000 of £l each by the creation of a further 499,000 Ordinary Shares of €1 each ranking pari passu in all respects with the existing Ordinary Shares in the capital of the Company."
