Dans un PoA rédigé au Brésil (donc par des non-anglophones), il est dit:
"That the Grantees have powers to propose, discuss, decide, vote, negotiate, agree to and sign arbitration provisions (cláusulas arbitrais) inserted or to be inserted in social contracts and partners’ agreements, and any amendments to such arbitration provisions".
Social contracts: le traduire par "contrats sociaux" me semble erroné (dans ce contexte... sté oeuvre dans le domaine aéronautique). Serait-il possible que cette expression réfère en fait à des contrats de la société (objet du POA) (et par opposition aux partners' agreements)?

: not impossible, but in a takover the main sticking points are the interests of previous and news owners - employment contracts are not a priority (sad fact of life)

In the ST it's a contract between a company and those joining the company as co-investors; the "arbitration provisions" are there so that their non-monetary contributions are not over- or under-valued.
