Source text - English Unless otherwise instructed by the Fund, the Management Company shall be authorised, without being obliged to do so, to exercise the voting rights attached to the instruments in the portfolio of the Fund or Sub-Funds.
The Management Company is authorised, without being obliged to do so, to undertake on behalf of the Fund any action in the interest of the investors in the Fund, and hall promptly inform the Fund accordingly. The Fund may decide either to undertake such action by itself or to let the Management Company to continue such action. The Fund will inform the Management Company of its decision in due time.
The Management Company shall, in carrying out its duties, observe at all times all applicable legal and regulatory provisions and, in particular, the prudential rules as may be determined from time to time by the respective Luxembourg or French regulators.
The Management Company shall, at all times, comply with instructions of the Board of Director, without prejudice, however, to paragraph 5 above and of the respect of the best interest of the Shareholders.
Where certain activities are delegated to Service Providers by either by the Fund or by the Management Company in conformity with Section IV of this Agreement, the Management Company shall keep the responsibility to supervise the activities carried out by these Service Providers and to coordinate their activities in the best interest of the Fund.
The Management Company undertakes to maintain such level of human and technical resources as the assets and the investment policies of the Fund or Sub-Funds may require from time to time to carry out its activities hereunder.
