(1) Mit diesem Gesellschaftsvertrag errichten
(a) die Firma YYZ in […], Großherzogtum Luxemburg, eingetragen im Handels- und Gesellschaftsregister Luxemburg (R.C.S. Luxembourg) unter der Nummer B[…] als Komplementär (associé gérant commandité); und
(b) die [TBD] als Gründungskommanditist (associé commanditaire)
die Gesellschaft in Form einer luxemburgischen Spezial-Kommanditgesellschaft (société en commandite spéciale) gemäß dem luxemburgischen Gesetz vom 10. August 1915 über Handelsgesellschaften, in seiner jeweils geltenden Fassung (das „Gesetz von 1915“). Die Gesellschaft ist ein alternativer Investmentfonds (AIF) im Sinne des luxemburgischen Gesetzes vom 12. Juli 2013 über Verwalter alternativer Investmentfonds, in seiner jeweils geltenden Fassung (das „Gesetz von 2013“).
(2) Die Firma der Gesellschaft lautet Firma YYZ.
(3) Der Sitz der Gesellschaft befindet sich in […], Großherzogtum Luxemburg. Der Komplementär und die von ihm ermächtigten Personen sind berechtigt, Tochtergesellschaften und Niederlassungen an einem anderen Ort des Großherzogtums sowie im Ausland zu errichten und ohne das Erfordernis der Zustimmung der Kommanditisten den Sitz der Gesellschaft innerhalb Luxemburgs zu verlegen. Eine Sitzverlegung ist den Kommanditisten umgehend schriftlich mitzuteilen.
(4) Die Bücher der Gesellschaft werden in Euro geführt.
2 Gegenstand
2.1 Zweck der Gesellschaft
Der Zweck der Gesellschaft besteht im Aufbau, Erwerb, Halten und Verwalten (einschließlich der Veräußerung) eines Portfolios von Beteiligungen an anderen Gesellschaften („Zielgesellschaften“) im eigenen Namen und für eigene Rechnung. Die Gesellschaft ist berechtigt, alle mit dem Gesellschaftszweck in Zusammenhang stehenden und zu dessen Erreichung notwendig und zweckmäßig erscheinenden Tätigkeiten und Handlungen vorzunehmen oder durch Dritte ausführen zu lassen. Die Gesellschaft übernimmt die Rechtsnachfolge der deutschen Firma XY und der deutschen Firma YZ (gemeinsam die „Vorgängergesellschaften“).

establish the company in the form of a Luxembourgian specialised-general partnership (société en commandite spéciale) in accord with the Luxembourgian Law from August 10th, 1915 concerning trading companies in its currently valid version (the “Law of 1915”). The company is an alternative investment fund (AIF) in the sense of the Luxembourgian law from July 12th, 2013 concerning managers of alternative investment funds in its currently valid version (the „Law from 2013“).
(6) The business name of the company is YYZ.
(7) The headquarters of the company is located in […], Grand Duchy of Luxemburg. The Limited partner and the persons authorised by it are entitled to establish subsidiaries and branch offices in a different location in the Grand Duchy’s as well as abroad as well as to re-locate the company headquarters within Luxembourg without the required consent of the business partners. Relocation of the headquarters must however be immediately communicated to the business partners in writing.
(8) The company’s books will be kept in Euros.
4 Object of Contract
2.2 Purpose of the Company
The purpose of the company is the assembling, purchase, maintenance and management (including the sale) of a portfolio of interests in other companies (“target companies”) in its own name and on its own account. The company is entitled to undertake any and all activities and actions that are associated with the purpose of the company and that seen expedient to the fulfilment of this purpose, or have them carried out by third parties. The company assumes legal succession to the German Firm XY and the German Firm YZ (jointly referred to as the „predecessor companies “).
